[SPIDER-MAN: BRAND NEW DAY SPOILERS!!]
He told him about how they used to know each other, in some other life that’s now gone to everyone except for Peter. Ned was over the moon to learn he used to be friends with THE Spider-Man. Still, it’s not all about being friends with Spider-Man—or at least Peter hopes it isn’t. No, it’s just the fact that they get on so darn well. For Peter it’s like he never lost him, sometimes he can almost pretend he never made the mistake of asking Dr. Strange for that spell that eventually came back to bite him in the ass, he can almost pretend the three of them went off to MIT together and now share an apartment together and… and… And well, for Ned it must be more like he’s just found a person he instantly clicks with. Another person he instantly clicks with. He seems to have a lot of those. A big group of friends he made in college, drawn in by that eccentrically charming personality of his.
OR
Peter's on that daily grind of being Spider-Man and getting beat up every other day while struggling to regain a friendship that he doubts is even there anymore. Meanwhile Ned is just trying hard to be there for him even though Peter keeps pulling away.

Will is too-drunk and laid out on his bed when he asks, “Are you like, also in love with all of your friends?”
“Hm?” Coy tried to understand what he was saying, leaning forward from his spot on the edge of his mattress, “I mean, I love all of my friends. Some more than others. You, ant, and bon more than most.”
“No, I mean, like in love, just a little bit.” Will asked, “I used to not understand how crushes worked. I thought people made it up, when they got all obsessed with someone attractive they didn’t know. I thought butterflies were a myth.”
“I don’t think butterflies are a myth.” Coy responded immediately, and it’s an all consuming and burning sort of thing. Coy could tell you, for certain, that butterflies were not a myth when he took in the sight of an unwound Will Wahoney with his purple bonnet tied over his curls and his pajama pants hanging too low looking over at him through the almost-dark.
“I don’t think butterflies are a myth anymore.” Will told him, “Because I’ve fallen in love with my best friends.”

Friendships fade into romance without the participants noticing all the time. It's rare that it happens to a group of four friends in quick succession, though.
